Agreement & Acceptance

By accessing or using TalkingQRCodes.com, purchasing any product or service, or enrolling in the TalkingQRCodes Affiliate Program, you ("User," "Affiliate," or "Customer") agree to be bound by these Terms and Conditions ("Terms") and all applicable laws and regulations.

If you do not agree with any part of these Terms, you must not use our website, services, or participate in our affiliate program.

TalkingQRCodes.com is an AI-powered voice QR code generation platform that enables businesses and individuals to create scannable QR codes that play custom audio messages when scanned.

We serve industries including automotive dealerships, hotels and hospitality, educational institutions, political campaigns, and small businesses seeking innovative customer engagement solutions.

Our platform is operated by an independent business based in San Antonio, Texas, United States.

Services & Products

TalkingQRCodes.com offers the following products and service tiers:

• Basic TalkingQR Code ($5 one-time) — Single AI-powered voice QR code with up to 60 seconds of audio, unlimited scans, and the ability to update the message at any time without reprinting.
• Business Plans ($100–$500/month) — Monthly subscription plans for small to medium businesses requiring multiple QR codes, analytics, and ongoing support.
• Automotive Dealership Plans ($449–$1,499/month) — Vehicle-specific QR codes supporting up to 75 vehicles (Bronze), 150 vehicles (Silver), or unlimited vehicles (Gold), with bilingual support and CRM integration options.
• Hospitality Plans ($299–$799/month) — Hotel and hospitality QR code packages for rooms, amenities, menus, and guest services.
• Education Plans ($599–$9,999/month) — District-wide QR code solutions for schools, including emergency alerts, multilingual support, and staff training.
• Political Campaign Package ($2,999/month) — Campaign QR codes with rapid message update capability, multilingual support, and dedicated response team.

Affiliate Program

The TalkingQRCodes Affiliate Program ("Program") allows approved participants ("Affiliates") to earn commissions by referring customers who make qualifying purchases through unique affiliate tracking links.

Eligibility: To participate in the Program, you must:

• Be at least 18 years of age
• Complete the affiliate registration at affiliates.talkingqrcodes.com
• Provide accurate personal and payment information
• Agree to these Terms and any supplemental affiliate guidelines
• Not be a resident of any jurisdiction where participation is prohibited by law

Affiliate Links: Upon approval, you will receive a unique tracking link (containing your affiliate ID as a URL parameter, e.g., ?ref=your_id). You are responsible for sharing this link accurately. We are not responsible for commissions lost due to affiliate sharing incorrect links.

Cookie & Session Tracking: Referrals are tracked via session and Stripe payment metadata. The referral must be present at the time of purchase for the commission to be credited. We do not guarantee tracking across all browsers, devices, or ad blockers.

Commission Structure

Affiliates earn commissions on qualifying sales made through their unique affiliate link. Commission rates vary by product category:

Commission Payout: Commissions are paid on the 1st of each month for the prior month's verified earnings. Minimum payout threshold is $25.00. Balances below this threshold roll over to the following month.

Payment Method: Commissions are currently paid via PayPal, Venmo, Zelle, or bank transfer. Affiliates must provide accurate payment details. We are not responsible for payments sent to incorrect accounts due to affiliate error.

Independent Contractor Status

All affiliates and sales representatives participating in the TalkingQRCodes program are independent contractors, not employees, agents, partners, or joint venturers of TalkingQRCodes.com.

• You are not entitled to employee benefits of any kind, including health insurance, retirement plans, vacation pay, or workers' compensation
• You set your own hours and work methods — we do not control how you promote our products
• You are responsible for your own business expenses, tools, and resources
• You may not represent yourself as an employee, officer, or agent of TalkingQRCodes.com
• You may not enter into contracts or make commitments on behalf of TalkingQRCodes.com
• You may perform similar services for other companies, provided they do not compete directly with TalkingQRCodes.com during active promotion

Payments & Billing

All customer purchases are processed securely through Stripe, a PCI-compliant payment processor. TalkingQRCodes.com does not store credit card numbers or sensitive payment data on our servers.

• One-time payments are charged immediately upon purchase and are non-refundable except as outlined in our Refund Policy (§ 08)
• Subscription payments are billed monthly on the anniversary of the original purchase date
• Subscriptions renew automatically until cancelled. You may cancel at any time through your account or by contacting us
• Price changes to subscription plans will be communicated with at least 14 days notice before your next billing cycle
• Failed payments may result in service suspension until the balance is settled

Refund Policy

One-Time Purchases ($5, $15, $25): Refunds are available within 24 hours of purchase if the QR code or audio has not yet been generated or delivered. Once your QR code and audio file are delivered, no refund will be issued.

Monthly Subscriptions: You may cancel your subscription at any time. Cancellations take effect at the end of the current billing cycle. We do not issue prorated refunds for partial months of service.

Exceptions: We will issue a full refund if:

• A technical error on our part prevented delivery of the service
• A duplicate charge occurred due to a payment processing error
• The service was materially different from what was described at purchase

To request a refund, contact talkingqrcodes@gmail.com within the applicable window with your order ID and reason.

Prohibited Conduct

The following actions are strictly prohibited and may result in immediate account termination, forfeiture of commissions, and potential legal action:

• Creating fake or fraudulent sales, self-referrals, or purchasing through your own affiliate link
• Spamming, unsolicited bulk emailing, or any marketing that violates CAN-SPAM, TCPA, or other applicable laws
• Making false or misleading claims about TalkingQRCodes products, pricing, or earning potential
• Guaranteeing specific income amounts to prospective affiliates or customers
• Using paid advertising on trademarked terms (e.g., bidding on "TalkingQRCodes" in Google Ads) without prior written approval
• Promoting TalkingQRCodes through adult content, hate speech, illegal content, or any content that violates our brand standards
• Attempting to reverse engineer, copy, or replicate the TalkingQRCodes platform or technology
• Scraping, crawling, or automated data extraction from our website
• Violating any applicable federal, state, or local laws in connection with your promotional activities

Intellectual Property

All content on TalkingQRCodes.com — including but not limited to the logo, brand name, website design, QR code technology, audio generation system, marketing materials, and written content — is the exclusive property of TalkingQRCodes.com and is protected by applicable intellectual property laws.

Affiliate Use of Brand Assets: Affiliates are granted a limited, non-exclusive, revocable license to use approved TalkingQRCodes logos, images, and marketing language solely for the purpose of promoting our products through their affiliate links. This license does not permit you to:

• Modify, alter, or create derivative works of our brand assets
• Use our name or logo in any way that implies endorsement of a third-party product
• Register domain names containing "TalkingQRCodes" or confusingly similar terms
• Claim ownership of any TalkingQRCodes content or technology

Customer-submitted message content (the text and audio of your QR codes) remains your property. By submitting content for audio generation, you grant us a limited license to process and store that content for service delivery purposes.

Privacy & Data

We collect and process personal information as described in our Privacy Policy. Key points relevant to these Terms:

• We collect email addresses, names, and payment information for order processing and affiliate tracking
• Affiliate referral IDs are stored in Stripe payment metadata to enable accurate commission tracking
• We do not sell your personal information to third parties
• QR code scan analytics (page views, clicks) are tracked and available to account holders
• By using our services, you consent to the collection of anonymous usage data for service improvement
• We use industry-standard security measures but cannot guarantee absolute security of data transmitted over the internet

Disclaimers

TalkingQRCodes.com provides its services on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• That the service will be uninterrupted, error-free, or completely secure
• That AI-generated audio will meet every customer's expectations in terms of tone, quality, or accuracy
• That QR codes will function on all devices, browsers, or scanning applications
• That affiliate tracking will capture 100% of referrals in all technical environments

Limitation of Liability

To the maximum extent permitted by applicable law, TalkingQRCodes.com and its owners, operators, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or commissions
• Loss of data or business opportunity
• Costs of procuring substitute services
• Any damages arising from unauthorized access to your account
• Any damages resulting from third-party actions, including payment processors or hosting providers

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the greater of (a) the amount you paid us in the 3 months preceding the claim, or (b) $100.00 USD.

Termination

Either party may terminate the affiliate relationship or service agreement at any time, with or without cause.

We may terminate or suspend your account immediately if:

• You violate any provision of these Terms
• You engage in fraudulent activity or misrepresentation
• Your promotional methods damage our brand reputation
• We receive complaints about your conduct from customers or prospects
• You fail to make a qualifying referral within 12 consecutive months (inactive affiliate)

Upon termination: Any earned and verified commissions up to the termination date will be paid on the next regular payout date, provided they meet the minimum threshold and are not subject to reversal. Commissions from sales under investigation at the time of termination may be withheld pending resolution.

We reserve the right to modify, suspend, or terminate the entire affiliate program at any time with 30 days notice to active affiliates.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in San Antonio, Bexar County, Texas, under the rules of the American Arbitration Association.

Notwithstanding the above, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm from violations of these Terms, particularly those involving intellectual property or fraud.
